Become our Legal Counsel

MRIguidance is a fast-growing MedTech software company in scale-up mode, selling AI-powered medical imaging software on a licence basis to hospitals and imaging centres across Europe and the US. Our commercial reality involves long B2B sales cycles, complex institutional procurement processes, and multi-year agreements with large healthcare organisations and distributors. We need a pragmatic, business-minded legal counsel who understands this world and who can act as a trusted partner and work closely with the leadership team to support commercial and operational objectives. 

You will be our first legal hire,  managing the day-to-day legal operations and negotiating and managing long-term distributor and customer agreements on both sides of the Atlantic.  Closely tied to this are data protection (GDPR and HIPAA) and Intellectual Property protection. You understand the difference between being a legal blocker and a legal enabler, and you default to the latter.

• Draft, review, and negotiate contracts (customer, supplier, distributor, trial, and partner agreements), covering exclusivity, territory rights, milestone obligations, termination provisions, and renewal mechanics across EU and US markets, including the cross-border elements of deals between our NL operations and US partners and customers.
• Support management by identifying and assessing contract risks, liability exposure, and indemnification structures.
• Protect MRIguidance’s IP in commercial deals through licensing terms, confidentiality, and infringement indemnities
• Advise on infringement matters and support the execution of enforcement and licensing strategies.
• Monitor compliance with relevant regulations (GDPR, HIPPA, general commercial and corporate law) and flag risks to the business.
• Contribute to ongoing digitalization of legal operations, working with legal ops tooling or legal tech platforms.
• Support and help automate contract lifecycle processes through AI tools, templates, clause libraries, and approval workflows — to reduce turnaround time and manual review.
• Build and maintain a library of scalable commercial legal templates, processes, and frameworks) that grow with the business.
• Maintain and improve legal documentation, playbooks, and internal process guides, identifying opportunities to standardize and automate recurring legal work.
• Serve as a primary point of contact for routine legal questions from other departments (sales, HR, operations).

Minimum

• LLM / Master’s in Law (Private Law, Commercial Law, or equivalent)
• A qualified lawyer with 3-5+ years’ experience, ideally a mix of law firm and in-house (in-house or equivalent commercial experience is what counts, no bar admission required)
• Commercial contracting track record: drafting and negotiating distribution, licence, and customer agreements independently
• Solid working experience with data protection in a commercial context; handling GDPR (and ideally HIPAA) issues within DPAs, customer agreements, and day-to-day deal negotiations
• Comfortable negotiating across both EU and US-law contracts, and confident managing complex B2B deals with large institutional counterparties
• Excellent written and spoken English
• A pragmatic, business-minded operator who sees legal as an enabler
• A collaborative team player who can manage the contracting workstream, effectively utilize external specialists when required, while at the same time leveraging automation tools
• Experience in (or a genuine appetite for) a fast-moving scale-up, comfortable with ambiguity and building processes from scratch

• Interest in using AI tools to make legal processes and legal decisions easier
• Experience in MedTech, healthcare, SaaS, FinTech, or another regulated technology sector
• Exposure to Dutch employment law and corporate housekeeping
• Interest in the medical device regulatory landscape (EU MDR, FDA SaMD) and a willingness to develop in it
